Unravel Terms of Service

Welcome to Unravel!

These Terms of Service ("Terms") govern your access to and use of our website located at unravel.finance (the "Site") and the services provided by Unravel ("we", "us", "our", or "Unravel"), including cross-sectional factor analytics, portfolio construction tools, and related research services (the "Service"). By accessing or using the Site and Service, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our Site or Service.

1. Acceptance of Terms

By accessing and using our Site or Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

2. Eligibility

To use our Service, you must:

  • Be at least 18 years old or of legal age to form a binding contract in your jurisdiction.
  • Provide accurate and complete information during the registration process and update it as necessary to ensure it remains accurate and complete.
  • Not be prohibited from using the Service under any applicable law.

3. User Accounts

You may need to create an account to access certain features of the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

3.1 Team Accounts

We offer team accounts that allow multiple users to access the Service under a shared workspace. The team account owner is responsible for managing team members, assigning roles, and ensuring all team members comply with these Terms. Team account usage is subject to the permissions and roles assigned within the team, and the team account owner bears responsibility for all activities conducted under the team account.

4. Subscription Plans and Payment Terms

We offer both monthly and yearly subscription plans, which are processed through third-party platforms such as Stripe. By subscribing, you agree to pay the subscription fees associated with your chosen plan.

  • Monthly Subscriptions: Billed monthly in advance. The contract automatically renews each month unless canceled with a one-month notice prior to the renewal date.
  • Yearly Subscriptions: Billed annually in advance. The contract automatically renews each year unless canceled with a one-month notice prior to the renewal date.

Failure to pay the subscription fees may result in suspension or termination of your access to the Service.

4.1 Refund Policy

All subscription fees are non-refundable. By subscribing, you acknowledge that access to the Service begins immediately upon purchase. You may cancel your subscription at any time to prevent future billing, but no refunds will be issued for the current or any prior billing period.

5. Delivery Terms

Purchased factor analytics, portfolio tools, and other Service components can be accessed through our Site (unravel.finance or an alternate URL owned by Unravel) for the duration of an active subscription.

6. Prohibited Uses

You agree not to use the Site or Service for any unlawful purpose or any purpose prohibited under this clause. You agree not to:

  • Violate any local, state, national, or international law or regulation.
  • Infringe upon or violate our intellectual property rights or the intellectual property rights of others.
  • Upload or transmit any software viruses or any other code designed to disrupt, damage, or limit the functioning of any software, hardware, or telecommunications equipment.
  • Attempt to gain unauthorized access to our Site or Service, other accounts, computer systems, or networks connected to our Site or Service, through hacking, password mining, or any other means.
  • Redistribute, resell, sublicense, or make available to third parties any data, content, or output obtained through the Service, unless expressly authorized by a separate written agreement with Unravel.
  • Use automated scripts, bots, or similar tools to scrape, extract, or collect data from the Service in excess of normal usage patterns or in violation of any rate limits imposed by us.
  • Engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Site or Service, or which, as determined by us, may harm Unravel or users of the Site or Service or expose them to liability.

7. Intellectual Property

All content provided through the Service, including but not limited to factor analytics, research outputs, portfolio data, software, and algorithms, is the intellectual property of Unravel and is protected by applicable intellectual property laws. Clients are granted a limited, non-exclusive, non-transferable license to use the content for their internal business or personal research purposes only. This license does not grant you the right to redistribute, resell, or sublicense any content obtained through the Service.

8. Confidentiality

Both parties agree to keep confidential any proprietary information disclosed by the other party in connection with the Service. This obligation will survive the termination of this agreement.

9. Disclaimer

The research and analysis provided by Unravel are based on historical data and backtests. Past performance is not indicative of future results. Unravel makes no representations or warranties regarding the accuracy or completeness of any third-party data provided through the Service. While we strive to ensure the accuracy and reliability of data we transform or derive, Unravel will not be liable for any inaccuracies or errors in the original data supplied by third parties.

Not Financial Advice. Our cross-sectional factor analytics, portfolio tools, and related research outputs are intended as analytical tools to support decision-making processes. The insights and analyses provided are based on comprehensive historical data and sophisticated quantitative modeling. However, this information should not be construed as financial advice, investment recommendations, or solicitations to buy, sell, or hold any financial instrument. 10. Service Availability

We strive to maintain continuous availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime. We shall not be liable for any loss or damage arising from Service unavailability.

11. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Unravel, its affiliates, agents, directors, employees, suppliers, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, or other intangible losses, arising out of or in connection with your use of the Site or Service.

Unravel's total liability to you for any claim arising from or related to the Service shall not exceed the amount paid by you for the Service in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Unravel and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any financial decisions made based on data or analysis obtained through the Service.

13. Governing Law

This agreement shall be governed by and construed in accordance with the laws of Germany. Any disputes arising from this agreement shall be resolved in the courts of Germany.

14. Termination

This agreement has a minimum contract period corresponding to your subscription term (monthly or yearly). Either party may terminate this agreement after the completion of the minimum contract period with thirty (30) days' written notice. Upon termination, your access to the Service will be revoked, and any outstanding fees will become immediately due. Sections relating to intellectual property, confidentiality, limitation of liability, indemnification, and governing law shall survive termination.

15. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to natural disasters, acts of government, power failures, internet or telecommunications failures, cyberattacks, pandemics, or other force majeure events.

16. Modification of Terms

Unravel reserves the right to modify these Terms at any time with one month's notice. Clients will be notified of any changes via email and our website. Continued use of the Service constitutes acceptance of the revised Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms shall remain in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly referenced herein, constitute the entire agreement between you and Unravel with respect to the Service and supersede all prior or contemporaneous communications and proposals, whether oral or written.
